These Terms and Conditions (“Terms”) govern participation in the IndicaOnline Referral Program (“Program”) offered by IndicaOnline, Inc. (“IndicaOnline,” “we,” “us,” or “our”). By participating in the Program, referring customers (“Referrers”) and referred customers (“Referrals”) agree to be bound by these Terms.
1.1. Participation in the IndicaOnline Referral Program (“Program”) is limited to active IndicaOnline customers with an active and fully paid subscription account in good standing.
1.2. Each eligible customer may participate by submitting referrals through the official IndicaOnline Referral Form, available on the designated referral landing page.
1.3. Existing customers or entities currently subscribed to IndicaOnline are not eligible to be referred. To qualify as a Referral, the referred party must:

Participation in the Program is only available to businesses operating in U.S. jurisdictions where commercial cannabis activity is legal under state law and where IndicaOnline is authorized to provide services. By submitting a referral, the Referrer affirms that both they and the Referred Party operate in jurisdictions compliant with applicable cannabis laws and hold all necessary licenses where required.
2.1. To initiate a referral, the Referrer must complete and submit the official Referral Form provided by IndicaOnline.
2.2. The form must include accurate information for both the Referrer and the Referred Party, including but not limited to:

By submitting a referral, the Referrer represents that they have obtained prior consent from the Referred Party to share their contact information with IndicaOnline for the purpose of participating in this Program.
2.4. Privacy Notice:
Referral contact information will be used exclusively to evaluate program eligibility and will be processed in accordance with IndicaOnline’s Privacy Policy. The Referred Party will be informed how their information was obtained and will have the opportunity to opt out of further communication.
2.5. Upon submission, the referral information will be reviewed by an IndicaOnline representative, who will verify the eligibility of both parties and initiate contact with the referred business.
3.1. A Referral will be deemed qualified when the referred business subscribes to a paid IndicaOnline plan and satisfies one of the following conditions:
3.2. If the referred business cancels their subscription or fails to remit payment at any time within the initial qualification period, the referral will be disqualified, and no credit will be issued to either party.
4.1. Upon successful qualification, both the Referrer and the Referral shall each receive a credit of five hundred dollars (USD $500) each, which will be applied solely toward IndicaOnline subscription fees, per location.

4.3. In cases where the Referral is enrolled in an annual billing cycle, the credit shall be applied to the next applicable billing term.
5.1. There is no limit to the number of referrals a Referrer may submit under the Program.
5.2. Credits issued under this Program do not expire; however, if the IndicaOnline subscription is canceled, any remaining credits will be forfeited.
6.1. IndicaOnline reserves the right to withhold, deny, or cancel any credits issued under this Program if it determines, in its sole discretion, that fraudulent or abusive behavior has occurred. This includes, but is not limited to:
6.2. IndicaOnline may modify, suspend, or terminate the Program, in whole or in part, at any time with or without notice, and shall not be liable for any resulting losses or damages.

7.2. Privacy Notice:

8.1. Participation in the Program constitutes acceptance of these Terms and any modifications thereto.
8.2. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
8.3. Any disputes arising out of or relating to these Terms or the Program shall be resolved in accordance with the dispute resolution provisions set forth in the IndicaOnline Master Subscription Agreement.
